Terms of Service

1. Agreement to Terms

By accessing or using Commonly ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

Commonly is operated by Purplecones LLC. The Service provides financial management and property tracking tools specifically designed for housing cooperatives.

2. Use License

Permission is granted to use the Service for managing your housing cooperative's financial and property data, subject to the following restrictions:

• You must not modify or copy the Service materials
• You must not use the materials for any commercial purpose without authorization
• You must not attempt to reverse engineer any software contained in the Service
• You must not remove any copyright or proprietary notations from the materials
• You must not transfer the materials to another person or mirror the materials on any other server

3. Account Registration

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.

You are responsible for safeguarding the password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Payment Terms

The first building is free with up to 25 units. Additional buildings are charged at $49 per building per month with up to 100 units per building. Enterprise pricing is available for larger cooperatives.

Subscriptions are billed monthly and will automatically renew unless canceled. You may cancel at any time through your account settings or by contacting support.

All fees are non-refundable except as required by law or as explicitly stated in these Terms.

5. User Data and Privacy

You retain all rights to your data. By using the Service, you grant us the right to store, process, and display your data solely for the purpose of providing the Service to you.

We are committed to protecting your privacy. Please review our Privacy Policy to understand how we collect, use, and safeguard your information.

6. Prohibited Uses

You may not use the Service:

• In any way that violates any applicable federal, state, local, or international law
• To transmit or procure the sending of any advertising or promotional material without our prior consent
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
• To introduce any viruses, trojan horses, worms, logic bombs, or other malicious material

7. Service Availability

We strive to maintain high availability of the Service but cannot guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Purplecones LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9. Limitation of Liability

In no event shall Purplecones LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our liability to you for any cause whatsoever shall not exceed the amount paid by you to us in the twelve (12) months prior to the action giving rise to liability.

10. Indemnification

You agree to defend, indemnify, and hold harmless Purplecones LLC and its licensees and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Service.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. You may request a data export before your account is terminated.

12. Governing Law

These Terms shall be governed by the laws of the State of New York, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms.
